Legal Manager: Upstream – Uganda National Oil Company

ESSENTIAL DUTIES

  • Work with relevant stakeholders, define negotiation strategies and actively participate in the review, negotiation and drafting of the agreements applicable to the upstream operations of UNOC and joint venture partners.
  • Participate in the process of applications for any new exploration, development, and production ventures that UNOC may engage in.
  • Ensure that executed upstream agreements including Production Sharing Agreements and Joint Operations Agreements are effectively managed and implemented.
  • Ensure that legal, contractual, and regulatory risks associated with upstream operations and associated joint ventures are appropriately considered and allocated in the implementation of upstream projects.
  • Implement existing or put in place relevant tools to ensure Upstream operations by UNOC or its joint venture partners are conducted in compliance with the applicable legal, regulatory, contractual regime, acceptable international best practices and internal policies.
  • Interpret and provide advice and guidance on legal, regulatory and contractual matters related to upstream projects undertaken by UNOC and/or its joint venture partners and as required attend the relevant upstream governance meetings.
  • Support the monitoring of legal, contractual and regulatory developments within Uganda and globally that may impact the legal, regulatory and contractual landscape applicable to the upstream operations and ensure these are effectively communicated
  • Support compliance with the applicable legal, regulatory, contractual regime, acceptable international best practices, and internal policies in the execution of upstream operations
  • Develop, manage productivity and mentor junior staff in the Unit
  • 10)Undertake any other duties and responsibilities as may be assigned from time to time by the supervisor(s)

Qualifications & Experience

  • A Bachelors degree (Hons) in law (LLB)
  • A diploma in Legal practice is an essential requirement
  • Possession of a valid practicing certificate is an essential requirement
  • A Master’s degree in law, energy related studies, commercial law, corporate law, project finance or Management will be an essential requirement
  • At least 8 (eight) years’ experience in a busy corporate entity of high repute, four (4) of which should have been attained at a supervisory level.
  • Experience in dealing with complex transactions in a large corporate entity is requiredincluding negotiating high value project contracts and providing advisory for such projects
  • Experience in dealing with upstream operations and contractual regime is an added advantage
